Introduction

These Terms of Use ("Terms") are a binding agreement between you and Good Guy LLC and its affiliates (collectively, "Good Guy LLC", "Good Guy RX", "we", "our", or "us"). These Terms govern your access to and use of any Good Guy LLC website that links to these Terms (including goodguyrx.com and any other Good Guy RX websites that link to these Terms) (collectively, our "Websites"), any affiliated mobile applications (the "Apps"), and the other services provided by Good Guy LLC (together, the "Services"). Our Privacy Policy is incorporated into these Terms by reference.

By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

PLEASE READ THESE TERMS CAREFULLY. SECTION 21 CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. THE SERVICES ARE NOT FOR MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY.

1. Acceptance of These Terms

By using the Services, you represent that you have read, understood, and agree to be bound by these Terms and the Privacy Policy, and that you have the legal capacity to enter into this agreement. If you use the Services on behalf of another person, you represent that you are authorized to accept these Terms on that person's behalf. Additional terms may apply to specific features of the Services, including telehealth consent forms and pharmacy disclosures presented to you during intake; those additional terms are incorporated into these Terms when presented to you.

2. Description of the Services

Good Guy RX is an online technology platform that connects individuals with independent licensed healthcare providers and independent, state-licensed pharmacies for the evaluation and, where clinically appropriate, treatment of certain health conditions.

Good Guy LLC is a technology company. Good Guy LLC is not a healthcare provider, pharmacy, manufacturer, compounder, or dispenser of medications, and does not provide medical care, medical advice, or pharmacy services. The Services include, among other things, hosting the Websites and Apps, facilitating scheduling and communications between you and healthcare providers, maintaining a patient portal, processing payments on behalf of healthcare providers and pharmacies, and coordinating administrative and support functions.

Any health-related information made available through the Services, including articles, tools, and general educational content, is for informational purposes only and is not medical advice. Never disregard or delay seeking professional medical advice because of something you read on the Services.

3. Good Guy RX Is Not a Healthcare Provider; Provider Group

Clinical services delivered to Good Guy RX patients are provided by Arora Health & Aesthetics, LLC, an independent professional medical corporation located at 300 Lenora Street, Seattle, WA 98121 (the "Provider Group"), through licensed healthcare providers credentialed in the state in which the patient resides (the "Providers").

Good Guy RX does not employ Providers or direct their clinical decisions. Provider-related inquiries can be directed to medicalcompliance@arorahealthgroup.com.

Your relationship for medical care is with the Provider who treats you, not with Good Guy LLC. No doctor-patient relationship is created between you and Good Guy LLC through your use of the Services. All diagnoses, treatment recommendations, and prescriptions are made by a Provider in the exercise of his or her independent professional judgment. Completing a consultation does not guarantee that a Provider will issue a prescription or recommend any particular treatment.

4. Telehealth Services

The Services facilitate telehealth consultations between you and Providers. Telehealth involves the delivery of healthcare services using electronic communications where the patient and Provider are not in the same physical location. As part of the intake process, you will be asked to review and consent to a telehealth informed consent, which describes the benefits, limitations, and risks of telehealth in more detail.

5. Pharmacy Services and Prescription Products

If a Provider issues a prescription for you, that prescription is dispensed and shipped by an independent, state-licensed pharmacy (each, a "Pharmacy"), which may include state-licensed compounding pharmacies. Good Guy LLC does not dispense, compound, or ship medications, and does not own or operate any Pharmacy.

Compounded medications are prepared by state-licensed compounding pharmacies in accordance with applicable federal and state regulations. Compounded medications are not approved by the U.S. Food and Drug Administration ("FDA"), and the FDA does not review compounded medications for safety, effectiveness, or quality. Your Provider can discuss with you whether a compounded medication or an FDA-approved alternative is appropriate for your circumstances.

You agree to use prescription products only as directed by your Provider and the product labeling, to keep all medications away from children, and not to share, resell, or transfer any prescription product to any other person. If you experience a side effect or adverse reaction, contact your Provider through the patient portal, and seek immediate medical attention if the reaction is serious.

6. Medical Emergencies

THE SERVICES ARE NOT FOR MEDICAL EMERGENCIES OR URGENT SITUATIONS. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, OR IF YOU BELIEVE YOU MAY HARM YOURSELF OR OTHERS, CALL 911 OR GO TO THE NEAREST EMERGENCY ROOM IMMEDIATELY. Do not use the Services, the patient portal, chat, or email to communicate information about an emergency, because responses through those channels are not immediate.

To use the Services, you must:

The Services are not available in all states, and the availability of specific treatments varies by state. We may use the location information you provide to determine whether the Services are available to you.

8. Your Account

To use certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the confidentiality of your log-in credentials and for all activity that occurs under your account. Do not share your credentials with anyone. Notify us promptly through the patient portal if you suspect any unauthorized use of your account. We reserve the right to suspend or terminate accounts that contain false or misleading information or that are used in violation of these Terms.

9. Payments, Subscriptions, and Auto-Renewal

Fees. You agree to pay all fees and charges associated with your use of the Services at the prices in effect at the time of purchase, plus any applicable taxes. Fees may include consultation fees, medication fees, and shipping fees, as disclosed at checkout. Prices are subject to change; changes will not apply retroactively and, for subscriptions, will apply only to billing cycles after we provide notice of the change. The Services are offered on a cash-pay basis, and Good Guy LLC does not bill insurance.

Payment Method. You authorize Good Guy LLC and its payment processors to charge your designated payment method for all fees you incur. You represent that you are authorized to use the payment method you provide. A temporary authorization hold may be placed on your payment method at the time of intake, which is not a charge and will be released or converted to a charge as described at checkout.

Subscriptions and Auto-Renewal. Certain Services and treatment plans are offered on a subscription basis. By purchasing a subscription, you authorize us to charge your payment method on a recurring basis, at the interval disclosed at checkout, until you cancel. Each billing cycle, your subscription will automatically renew, and your payment method will be charged the then-current subscription price, unless you cancel before the next billing date as described in Section 10. Ongoing eligibility for subscription treatments remains subject to periodic clinical review by a Provider.

Promotions. Promotional codes and discounts are subject to their stated terms, are not redeemable for cash, may not be combined unless expressly stated, and may be modified or discontinued at any time. Discounts described as continuing for the life of a membership remain conditioned on the membership remaining active and in good standing.

10. Cancellations, Refunds, and Returns

All prescription medication sales are final. Due to state and federal pharmacy regulations, prescription medications cannot be returned, resold, or reused once dispensed or shipped, regardless of the dispensing Pharmacy.

Telehealth consultation fees are non-refundable, even if a prescription is not issued.

Subscriptions can be cancelled at any time before the next billing cycle through the patient portal. Cancellation stops future shipments only and does not refund prior orders.

Damaged or defective shipments must be reported within 48 hours of delivery with photo documentation; replacements (not refunds) will be issued at the Pharmacy's discretion.

11. Communications, Email, and Text Messages

By creating an account, you consent to receive communications from us electronically, including through the patient portal, email, and, if you opt in, text messages. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

Transactional Communications. We will send you communications relating to your account, orders, shipments, payments, and the operation of the Services. You may not opt out of these operational communications while you maintain an account.

Marketing Communications. You may opt out of marketing emails at any time by following the unsubscribe instructions in those emails or by contacting us as described in the Privacy Policy.

Text Messages. If you opt in to text messages, message frequency varies and message and data rates may apply. Consent to receive marketing text messages is not a condition of any purchase. Reply STOP to cancel or HELP for help at any time. Text messaging originator opt-in data and consent will not be shared with any third parties.

Certain features of the Services may allow you to submit reviews, comments, testimonials, survey responses, or other content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Good Guy LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, and distribute that User Content in connection with the Services and the promotion of Good Guy RX, subject to the Privacy Policy.

You represent that you own or have the necessary rights to your User Content and that it does not violate the rights of any third party. Do not include personal health information in any public area of the Services; information posted publicly is not confidential. We may remove any User Content at our discretion.

14. Intellectual Property

The Services, including all content, software, designs, text, graphics, logos, and other materials (excluding User Content), are owned by Good Guy LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. "Good Guy RX," the Good Guy RX logo, and all related names and marks are trademarks of Good Guy LLC or its affiliates and may not be used without our prior written permission.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. No other rights are granted. If you provide feedback or suggestions about the Services, we may use them without restriction or compensation to you.

15. Copyright Complaints

If you believe that content on the Services infringes your copyright, please send a notice to our designated agent containing: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and its location on the Services; (d) your contact information; (e) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

16. Third-Party Services and Links

The Services may contain links to, or be provided in connection with, third-party websites, applications, and services, including the platforms used for clinical intake and the patient portal, payment processors, shipping carriers, and the independent Providers and Pharmacies described above. Good Guy LLC does not control and is not responsible for the acts, omissions, content, or practices of any third party, including the professional services provided by Providers and Pharmacies. Your use of third-party services is at your own risk and subject to the terms and policies of those third parties.

17. Privacy

Our collection, use, and disclosure of your information is described in our Privacy Policy. Health information collected in connection with clinical care is also subject to applicable health privacy laws and the notices provided to you by the Provider Group and the Pharmacies.

18. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOOD GUY LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

GOOD GUY LLC MAKES NO REPRESENTATION OR WARRANTY REGARDING ANY TREATMENT, MEDICATION, OR HEALTH OUTCOME. GOOD GUY LLC DOES NOT GUARANTEE THAT A PROVIDER WILL ISSUE A PRESCRIPTION OR THAT ANY TREATMENT WILL PRODUCE ANY PARTICULAR RESULT. INDIVIDUAL RESULTS VARY. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) GOOD GUY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; (B) GOOD GUY LLC WILL NOT BE LIABLE FOR THE PROFESSIONAL ACTS OR OMISSIONS OF ANY PROVIDER, THE PROVIDER GROUP, OR ANY PHARMACY, EACH OF WHICH IS AN INDEPENDENT THIRD PARTY; AND (C) THE TOTAL AGGREGATE LIABILITY OF GOOD GUY LLC ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO GOOD GUY LLC FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the limitation of liability for certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

20. Indemnification

You agree to defend, indemnify, and hold harmless Good Guy LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your violation of these Terms or applicable law; (c) your User Content; or (d) your violation of the rights of any third party.

21. Dispute Resolution: Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND GOOD GUY LLC TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVES THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

Informal Resolution. Before initiating arbitration, you and Good Guy LLC agree to first attempt to resolve any dispute informally. Send a written notice describing the dispute and the relief requested to legal@goodguyrx.com or to the address in Section 27. If the dispute is not resolved within sixty (60) days of receipt of the notice, either party may commence arbitration.

Agreement to Arbitrate. You and Good Guy LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (each, a "Dispute") will be resolved by binding arbitration on an individual basis, rather than in court, except that: (a) either party may bring an individual claim in small claims court if it qualifies; and (b) either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights. This arbitration agreement is governed by the Federal Arbitration Act. For clarity, this Section applies to Disputes with Good Guy LLC; claims relating to the professional medical or pharmacy services of a Provider, the Provider Group, or a Pharmacy are governed by your agreements with those independent third parties.

Arbitration Procedure. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, available at adr.org. The arbitration will be conducted by a single arbitrator in the county where you reside, by videoconference or telephone, or at another mutually agreed location. Payment of filing, administration, and arbitrator fees will be governed by the AAA rules. The arbitrator's award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND GOOD GUY LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) must proceed in court, and the remainder of this Section will remain in effect.

Opt-Out. You may opt out of this arbitration agreement and class action waiver by sending written notice of your decision to legal@goodguyrx.com or to the address in Section 27 within thirty (30) days of first accepting these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you want to opt out of this arbitration agreement. Opting out of arbitration will not affect any other provision of these Terms.

Jury Trial Waiver. To the extent any Dispute proceeds in court rather than arbitration, you and Good Guy LLC each waive any right to a jury trial to the fullest extent permitted by law.

This Section survives termination of these Terms and your relationship with Good Guy LLC.

22. Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of Tennessee and applicable federal law, without regard to conflict of laws principles, except that the Federal Arbitration Act governs the arbitration agreement in Section 21. For any matter not subject to arbitration, you and Good Guy LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in Davidson County, Tennessee.

23. Termination

You may stop using the Services and close your account at any time through the patient portal or by contacting us. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms, if required by law, or to protect the Services, other users, Providers, or Pharmacies. Termination of your account does not terminate any ongoing treatment relationship you have with a Provider; contact the Provider Group regarding continuity of care. Sections that by their nature should survive termination will survive, including Sections 13, 14, and 18 through 26.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes in the law, the Services, or our business practices. The date these Terms were last revised is identified at the top of the document. If we make a material change, we will provide you with appropriate notice in accordance with legal requirements, such as by posting the updated Terms on the Websites or notifying you through the Services or by email. Your continued use of the Services after the updated Terms take effect will be deemed your acceptance of the changes. If you do not agree to the updated Terms, stop using the Services.

25. Notice to California Residents

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice: the Services are provided by Good Guy LLC, 1005 17th Avenue South, Suite 900, Nashville, Tennessee 37212. If you have a question or complaint regarding the Services, please contact us at legal@goodguyrx.com. California residents may also contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834, or by telephone at (800) 952-5210.

26. Miscellaneous

These Terms, together with the Privacy Policy and any additional terms presented to you through the Services, constitute the entire agreement between you and Good Guy LLC regarding the Services and supersede any prior agreements on that subject. If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. Good Guy LLC will not be liable for any delay or failure to perform resulting from causes outside its reasonable control. Section headings are for convenience only and have no legal effect. There are no third-party beneficiaries of these Terms except as expressly stated.
